NOTICE OF BOARD ELECTIONS
Board Membership
In accordance with the constitution (Constitution) of NATIONAL ASSOCIATION FOR SUSTAINABLE AGRICULTURE, AUSTRALIA LIMITED (ACN 003 260 348), the Board of Directors (Board) has the authority and responsibility to manage the Business of NASAA Ltd.
The Board currently comprises four (4) people of whom all are Member Elected Directors. These members are Mr Tim Marshall, Ms Kim Morgan, Mr Simon Jones and Mr Mark Anderson. Tim has served as Chair for the last three years.
This year Mr Tim Marshall will have completed his three-year term, and therefore his position will be declared vacant at the next AGM. Tim has indicated his intention to nominate again for election.
Nominations are sought
One (1) vacant Member Elected Director position on the Board is available to be filled at the 2023 Annual General Meeting.
On behalf of the Board, I invite nominations for any NASAA Organic Members of at least 12 months standing, to stand for election to the Board prior to the nomination closing date.
Term of office
A Director is appointed for a three (3) year term.
In order to provide an appropriate mix of skills across the Board membership, candidates with appropriate experience and skills are being sought for this position in 2023.
Commitment
As a Director, you will be expected to:
- understand your obligations and responsibilities as a Director on a Not for Profit Board.
- meet 6 times a year and at other times as required, noting the time commitment to the Board is 6 meetings per year held in Stirling, South Australia (Head Office), with the provision for online attendance meetings from time to time with compulsory attendance at two (2) Board (face to face) meetings.
- undertake a variety of tasks including preparing for Board meetings and participating in sub-committees and projects.
- to have read all the relevant Board Papers leading up to each meeting and to actively contribute at meetings.
Lodgement and Closing Date
Please find attached a nomination form that must be completed and returned together with supporting documents to NASAA Organic no later than 5pm on Tuesday 15th August 2023.
In accordance with Section 10.4 ‘Procedure for the Election of Directors’ of the Constitution, nominations (other than in the case of retiring Directors) must be signed by at least two Members, one of whom must have been a Member for the previous 12 months.
A notice must also accompany the nomination from the candidate detailing their qualifications and experience and confirming a willingness to stand. A proforma has been provided to assist nominees in providing a statement of consideration to nominate.
For reasons of confidentiality NASAA Organic does not distribute its membership lists without request, but a list of Members is available on application to the NASAA Organic office for those intending to nominate.
Where the number of nominations equals the number of vacant positions to be filled, the candidate will be deemed elected at the AGM.
This year, if more than two valid nominations are received through this process, then NASAA Organic will have more nominations than positions available and a ballot of all nominations amongst all members for the vacancy will be called.
